Welcome to o2sheet !

These terms and conditions outline the rules and regulations for the use of o2sheet’s Services, described at https://o2sheet.com/ and provided as a Google Sheet add-on.

By accessing this website, or using the o2sheet Service we assume you accept these terms and conditions. Do not continue to use o2sheet if you do not agree to take all of the terms and conditions stated on this page.

The following terminology applies to these Terms and Conditions, Privacy Statement and Disclaimer Notice and all Agreements:

  • “Client”, “You” and “Your” refers to you, the person log on this website and compliant to the Company’s terms and conditions.
  • “The Company”, “Ourselves”, “We”, “Our” and “Us”, refers to our Company, IdPact
  • “Service”, refers to o2sheet Google Sheet add-on

All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner for the express purpose of meeting the Client’s needs in respect of provision of the Company’s stated Service, in accordance with and subject to, prevailing law of France.

Any use of the above terminology or other words in the singular, plural, capitalization and/or he/she or they, are taken as interchangeable and therefore as referring to same.

1. Subscription

1.1 Fees

The Service is billed on a subscription basis (“Subscription(s)”). You will be billed in advance on a recurring and periodic basis (“Billing Cycle”). Billing cycles can be set as monthly or annually, depending on the type of subscription plan you select when purchasing a Subscription. The unit price for each user of the service depends on your subscription plan, defined by the billing cycle and currency.

At the end of each Billing Cycle, your Subscription will automatically renew unless you cancel it or o2sheet cancels it. 

Should automatic billing fail to occur for any reason, IdPact will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice.

1.2 Taxes

Fees do not include any Taxes. Customer is responsible for paying all Taxes, excluding only taxes based on IdPacts’s net income.

1.3 Refunds

Users are not allowed to claim for payments already made even if these relate to unused portions of the Service purchased. The Service reserves the right, however, in its sole discretion and without involving charges or obligation to Users generally, to grant reimbursement in very exceptional cases after evaluating the specific circumstances of the case.

1.4 Termination

You may terminate your subscription at any time before the last day of the Subscription renewal date in accordance with with your billing cycle.

You may cancel your Subscription renewal either through your online account management page accessible from the add-on menu or by contacting o2sheet’s customer support team.

1.5 Subscription Changes

If you chooses to increase your number of Authorized Users, any incremental subscription fees associated with such increase will be charged on a pro rated basis with respect to the remaining Billing Cycle.

If you choose to reduce the number of Authorized Users, changes are effective immediately and no refund will be provided.

In any future billing cycles, your subscription fees will reflect any such increases or decreases.

2. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of IdPact.

You shall not attempt to unpack, reverse engineer, duplicate our Service.

The Service is protected by copyright, and other laws of both the France and foreign countries. Our trademarks and brand may not be used in connection with any product or service without the prior written consent of IdPact.

3. Limitation Of Liability

In no event shall IdPact, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from

(i) your access to or use of or inability to access or use the Service;
(ii) any conduct or content of any third party on the Service;
(iii) any content obtained from the Service;
(iv) unauthorised access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory,

whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

4. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an “as-is” and “as-available” basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

Depending on Service, it may be constituted of external systems and services (like Google’s G Suite platform, Cloud Platforms, APIs, environment etc.) and the availability may be directly impacted by external system’s availability. There is no guarantee or warranty for the service availability, up-time, and continuity.

IdPact do not warrant that :
a) the Service will function uninterrupted, secure or available at any particular time or location;
b) any errors or defects will be corrected;
c) the Service is free of viruses or other harmful components;
d) the results of using the Service will meet your requirements.

5. Changes

We reserve the right to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
